Independent Sector Business Associate Directory Submission Form Terms and Conditions

By providing information or content (“Content”) to us through this form for inclusion in the Independent Sector Business Associate Directory (“Directory”), you represent that you are fully able and competent to enter into the terms, conditions, representations, and warranties set forth in these Terms and Conditions; otherwise, please do not use this form.

All information submitted through this form is subject to the Privacy Policy. Content, including personally identifiable information, that you provide through this form will be printed in the Directory which will be made available to third parties.

Content Ownership and License

You retain ownership of any Content you submit to the print directory. However, by submitting Content, you grant Independent Sector a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, distribute, and display such Content in the Directory. The Directory is owned by and is the exclusive property of Independent Sector.

You are not permitted to use Independent Sector’s name or logo, or the name of an Independent Sector meeting, program, product, or service, in your communications in a way that implies that Independent Sector participates in, or approves of, the communication, or that implies Independent Sector’s endorsement or sponsorship in the content of your communications, without prior Independent Sector approval in writing.

Independent Sector reserves the right to change the contents or format of, or access to, the Directory or to discontinue it at any time.

You agree not to submit any Content that is, in whole or in part, defamatory, abusive, profane, threatening, offensive, or references illegal materials. You agree not to submit any Content protected by copyright without the permission of the copyright owner.
Independent Sector does not on its own undertake editorial control of the content of the Directory, but in the event that it becomes aware of a violation of these guidelines, Independent Sector will take all appropriate action.

Indemnification

You agree to defend, indemnify, and hold harmless Independent Sector, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms and Conditions.
